Corporate Matters

Our Firm has a very broad practice in corporate matters. This area includes general counseling in commercial affairs, in all the legal forms of organization, in contracts between enterprises, foreign investment, affairs related with the reorganization of enterprises, unfair competition and credit titles. Furthermore, these lawyers are dedicated to counsel investors in mergers and acquisitions, as well as clients who want to act as bidders in privatizations or concessions of public enterprises. In these events we have participated counseling bidders who have in various cases won the bid.

 

Taxation

The taxation area is formed by very experienced and well known lawyers, who back our clients in the tax planning efforts, during the auditing processes held by the tax authorities, as well as during the administrative and judiciary procedures related to taxation affairs. Mining, Enery and Hidrocarbons

The Firm has ample experience in this field, acting as lawyers of many of the main mining and hydrocarbons companies of the country. Our services in these area include the study and cleaning-up of titles, the constitution of legal and contract societies, as well as the negotiation and wording of mining options, mining exploration and exploitation and mining partnership contracts. It is included in this area of expertise the negotiation of contracts and concessions for the exploration and exploitation of hydrocarbons and the exploitation of mining energy.

 

Foreign Trade

Estudio Aurelio García Sayan has a very strong experience in the counseling of foreign trade affairs such as imports, exports, suspension regimes, temporary regimes, commercial agreements, Andean integration, etc. Furthermore, it advises its clients in procedures related to complaints of dumping and subsidies.

 

Corporate Finance, Securities and Capital Market

Our Firm regularly participates in many operations taking place in the national and international stock markets. It has also taken part in numerous operations of international corporate and project finance, having in some cases acted as counselors of the bank lenders and in other cases as counselors to the enterprise borrowers.

Furthermore, it has a very broad experience in the issuing and exchange of stocks in the Bolsa de Valores de Lima as well as in international stock exchange markets. It has also experience in Stock Public Offers as well as in the issuing of American Depositary Shares (ADS), having taken part in most of the operations of that kind being held by Peruvian companies.

 

Due Diligence

During the last years, our Firm has developed lawyers with experience in this field. This process is of special importance in the event of mergers and acquisitions as well as a previous step to taking part in the privatization of a state owned company. In order to carry out such work, we designate a special team with lawyers of the different areas that require to be audited, who develop a joint effort and issue a final report by areas of interest.

This area is mainly dedicated to the register and protection of industrial and intellectual property, in particular, of trademarks, patents, author copyrights and industrial copyrights. We have also experience in the wording and negotiation of contracts related with these matters, such as license agreements, and granting the use of trademarks and patents, and technology transfer agreements.
